REPORT OF GOLDEN GUINEA BREWERIES PLC's 39TH ANNUAL GENERAL MEETING HELD ON SEPTEMBER 27, 2024 IN PORT HARCOURT

1. Financial Statements: The audited financial statements for the fiscal years ending on March 31, 2022, 2023, and 2024 were presented to the shareholders. These included the Directors' Report, Independent Auditors' Report, and the Audit Committee's Report.

2. Election of Directors:
The following new directors were elected:

Prince Osa Osunde
Prof. Martin N. Ike-Muonso
Mrs. Ola Ifezulike
Barr. Chidinma Onyinye Obi

3. Audit Committee Elections:
Shareholder representatives elected to the Audit Committee:

Mr. Job Ihejirika Onwughara
Mr. Anselm Agommuoh
Mr. Samuel Onukwue

Two board members were nominated to represent the company on the committee:

Ms. Ugo U. Agwu
Mr. Ferguson O. Uzomah

4. Managerial Remuneration: The remuneration details of the company's managers were disclosed on page 15 of the annual report.

6. Remuneration of Non-Executive Directors:
